Terms of Service

These Terms of Service (“Terms”) govern access to and use of TaxResOS. By creating an account or using the platform, your firm agrees to these Terms. This is a general draft and should be reviewed by counsel before publishing.
1. Accounts
You must provide accurate information when creating an account. You are responsible for activity that occurs under your firm's account, including actions taken by users your firm invites.
2. Subscription & billing
TaxResOS is billed per seat, on a monthly or annual basis as selected at signup. Fees are charged in advance and are non-refundable except as required by law.
Certain features (including fax, SMS, and eSignature) are billed based on usage, in addition to your subscription, once those features are available.
You may add or remove seats; changes take effect according to your billing interval.
3. Acceptable use
You agree to use TaxResOS only for lawful purposes related to tax representation and resolution practice management, and not to misuse the platform, attempt to access other firms' data, or interfere with the service.
4. Your data
Your firm retains ownership of the client and case data it enters into TaxResOS. You are responsible for having the appropriate authorization to enter client data, including IRS Form 8821/2848 authorizations required to pull transcripts on a client's behalf.
You are responsible for your firm's compliance with applicable law, including IRS safeguarding requirements, in your use of the platform.
5. Availability
We aim to keep TaxResOS available and reliable but do not guarantee uninterrupted access. Planned maintenance and unplanned downtime may occur.
6. Termination
Either party may terminate the subscription per the billing terms agreed at signup. Upon termination, we will provide a reasonable window to export your firm's data before it is deleted.
7. Disclaimers & limitation of liability
TaxResOS is a practice management platform, not a source of tax or legal advice. Resolution recommendations generated by the platform are informational and do not replace professional judgment.
To the maximum extent permitted by law, TaxResOS is not liable for indirect, incidental, or consequential damages arising from use of the platform.
8. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated to account owners in advance of taking effect.
